ChatSa Affiliate Agreement

1. Agreement Overview

This Affiliate Agreement ("Agreement") is entered into between ChatSa, Inc. ("Company", "we", "us") and you ("Affiliate", "you") for participation in the ChatSa Affiliate Program ("Program").

By participating in the Program, you agree to be bound by the terms and conditions set forth in this Agreement.

2. Commission Structure

• Starter Plan: 20% recurring commission
• Professional Plan: 25% recurring commission
• Enterprise Plan: 30% recurring commission
• Commissions are paid monthly for active subscriptions
• Minimum payout threshold: $100

3. Affiliate Responsibilities

• Promote ChatSa services in a professional and ethical manner
• Comply with all applicable laws and regulations
• Provide accurate information about ChatSa products and services
• Disclose affiliate relationship in accordance with FTC guidelines
• Not engage in spam, misleading advertising, or fraudulent activities
• Not bid on ChatSa branded keywords in paid search campaigns

4. Payment Terms

• Payments are made monthly via PayPal or bank transfer
• Commission calculations are based on net revenue after refunds
• 60-day cookie duration for tracking referrals
• Chargebacks and refunds will be deducted from future commissions
• Tax reporting is the responsibility of the affiliate

5. Prohibited Activities

• Self-referrals or creating accounts for personal use
• Cookie stuffing or other fraudulent tracking methods
• Trademark or copyright infringement
• Negative SEO or competitive sabotage
• Promoting through adult, illegal, or offensive content
• Creating misleading landing pages or false claims

6. Intellectual Property

ChatSa grants you a limited, non-exclusive license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our services under this Agreement.

You may not modify our materials without written permission and must cease use immediately upon termination.

7. Termination

Either party may terminate this Agreement at any time with or without cause. Upon termination:

• Your affiliate account will be deactivated
• Outstanding commissions will be paid according to normal schedule
• You must cease all promotional activities
• License to use ChatSa materials is revoked

8. Limitation of Liability

ChatSa's liability under this Agreement is limited to the payment of earned commissions. We are not liable for any indirect, incidental, or consequential damages arising from your participation in the Program.

9. Governing Law

This Agreement is governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Dallas, Texas.
